Terms, Conditions, Waiver & Release

This Terms, Conditions, Waiver and Release Agreement ("Agreement") is entered into between StrengthX LLC ("StrengthX," "Company," "we," "us," or "our") and the individual accepting this Agreement ("Participant," "Attendee," "you," or "your"). This Agreement applies, as applicable, to attendance at or participation in StrengthX expos, competitions, athletic activities, demonstrations, classes, training sessions, seminars, programs, memberships, and related activities (collectively, the "Event").

If you register another person, including a minor for whom you are the parent or legal guardian, you represent that you have legal authority to complete the registration and accept applicable terms on that person's behalf.

Participation and admission are conditioned on compliance with this Agreement, venue rules, posted safety instructions, competition rules, and reasonable directions from StrengthX staff, officials, security personnel, medical personnel, sanctioning bodies, and venue personnel.

StrengthX may deny admission, remove a person, suspend participation, or revoke credentials when reasonably necessary for safety, rule enforcement, disruptive conduct, fraud, harassment, intoxication, prohibited items, or other material violations of Event policies, subject to applicable law.

You represent that the information submitted in connection with registration or purchase is accurate and complete and that you have authority to use the payment method provided. You are responsible for reviewing registration details, Event requirements, eligibility rules, age restrictions, and competition classifications before completing a purchase.

Event prices, registration fees, service or processing charges, insurance or administrative charges, and applicable taxes will be disclosed during the applicable purchase or registration process. Prices and availability may change before purchase. Events, divisions, classes, sessions, and seating may have limited capacity and may sell out.

Event dates, times, locations, schedules, speakers, exhibitors, competitors, activities, and programming may change when reasonably necessary. StrengthX will provide notice of material changes when practicable.

Unless a specific Event's posted terms state otherwise, all sales are final and registration or ticket fees are non-refundable.

If an Event is postponed, rescheduled, relocated, materially modified, or canceled, the remedies available to purchasers will be those stated in the applicable Event-specific policy and required by law. Participants agree not to initiate an improper chargeback for a valid, authorized transaction.

Purchases may be subject to payment authorization and verification. If you do not receive an order or registration confirmation after submitting payment, you are responsible for contacting Strength X at strengthXsports@gmail.com to determine whether the transaction was completed before submitting a duplicate purchase.

YOU UNDERSTAND THAT ATHLETIC, FITNESS, STRENGTH, CONDITIONING, COMPETITIVE, RECREATIONAL, AND EVENT ACTIVITIES INVOLVE INHERENT AND OTHER RISKS. THESE RISKS MAY INCLUDE, WITHOUT LIMITATION, FALLS; COLLISIONS; OVEREXERTION; EQUIPMENT FAILURE OR MISUSE; CONTACT WITH OTHER PERSONS OR OBJECTS; MUSCLE, TENDON, LIGAMENT, JOINT, BONE, HEAD, NECK, OR SPINAL INJURIES; CARDIOVASCULAR EVENTS; ILLNESS; PERMANENT DISABILITY; PARALYSIS; DEATH; AND LOSS OF OR DAMAGE TO PROPERTY.

You acknowledge that these risks may arise from your own actions or inactions, the actions or inactions of others, the condition of facilities or equipment, weather, crowd conditions, travel associated with the Event, or other circumstances. You knowingly and voluntarily assume the risks inherent in attending or participating in the Event to the fullest extent permitted by law.

You are responsible for determining whether you are physically and medically able to participate. You should not participate in an activity for which you are not adequately prepared or when a medical professional has advised against participation. You agree to stop participating and notify appropriate Event personnel if you experience or observe a significant safety hazard or medical concern.

If you require emergency medical care and are unable to provide consent, you authorize Event personnel to seek reasonable emergency assistance on your behalf. You remain responsible for medical expenses incurred on your behalf, except to the extent otherwise required by law.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU, FOR YOURSELF AND YOUR HEIRS, ESTATE, PERSONAL REPRESENTATIVES, SUCCESSORS, AND ASSIGNS, RELEASE AND DISCHARGE STRENGTHX AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, CONTRACTORS, AGENTS, AFFILIATES, SPONSORS, SANCTIONING BODIES, EVENT PRODUCERS, VENDORS, LANDLORDS, VENUE OWNERS AND OPERATORS, AND EACH OF THEIR RESPECTIVE SUCCESSORS AND ASSIGNS (COLLECTIVELY, THE "RELEASED PARTIES") FROM CLAIMS FOR BODILY INJURY, ILLNESS, DISABILITY, DEATH, OR PROPERTY LOSS OR DAMAGE ARISING FROM OR RELATED TO YOUR ATTENDANCE AT OR PARTICIPATION IN THE EVENT, INCLUDING CLAIMS ARISING FROM THE ORDINARY NEGLIGENCE OF A RELEASED PARTY, TO THE EXTENT SUCH A RELEASE IS ENFORCEABLE UNDER APPLICABLE LAW.

This release does not waive claims that cannot legally be waived, including liability that applicable law prohibits a party from disclaiming or releasing.

To the fullest extent permitted by law and consistent with the release above, you agree not to bring a claim against a Released Party for a matter that you have validly released under this Agreement.

To the fullest extent permitted by law, you agree to indemnify and hold harmless the Released Parties from third-party claims, losses, liabilities, damages, and reasonable costs arising from your material violation of this Agreement, your unlawful conduct, or your intentional or reckless acts at the Event. This provision is not intended to require indemnification where prohibited by law.

Spectators and attendees may be near athletic demonstrations, competitions, equipment, crowds, temporary structures, vendor displays, food and beverage service, and other Event activities. By entering Event areas, you acknowledge and assume the ordinary and inherent risks associated with attendance, including accidental contact, trips and falls, crowd movement, and objects or equipment entering spectator areas.

For the safety of attendees and participants, bags, containers, and belongings may be subject to reasonable inspection as permitted by law and venue policy. A person who declines a required security screening may be denied entry.

• No unlawful weapons, illegal drugs, or other items prohibited by law, venue rules, or posted Event policies.
• No threatening behavior, fighting, stalking, harassment, unwanted sexual conduct, or intentionally dangerous conduct.
• No unauthorized entry into restricted, competition, backstage, production, or staff-only areas.
• Participants must follow equipment, competition, spotting, warm-up, and safety rules applicable to their activity.

You are responsible for your personal property. To the fullest extent permitted by law, StrengthX is not responsible for loss, theft, or damage to unattended personal property except to the extent caused by conduct for which liability cannot lawfully be disclaimed.

You understand that Strength X events may be photographed, filmed, livestreamed, broadcast, or otherwise recorded. To the fullest extent permitted by law, you grant StrengthX and its authorized producers, photographers, videographers, licensees, successors, and assigns permission to capture and use your image, likeness, voice, appearance, and statements recorded in public or Event areas for Event coverage, archival, editorial, promotional, advertising, social media, and commercial purposes in any media now known or later developed, worldwide and without additional compensation, unless prohibited by law or otherwise agreed in writing.

You waive any right to inspect or approve the finished materials and release StrengthX from claims arising solely from authorized use of such recordings, except for uses prohibited by law.

StrengthX may send transactional communications relating to purchases, registration, safety, schedules, credentials, or Event administration. Marketing email or text communications will be sent in accordance with applicable law and the choices presented at signup. Consent to marketing is not a condition of purchase unless expressly permitted by law.

Personal information is handled in accordance with the StrengthX Privacy Policy.

A participant under age 18 may participate only when permitted by the applicable Event and when a parent or legal guardian provides all required consent. The parent or legal guardian represents that they have legal authority to act for the minor and, to the fullest extent permitted by law, agrees on behalf of the minor and individually to the assumption-of-risk, release, and other provisions of this Agreement that may lawfully apply.

PARENT/GUARDIAN ACKNOWLEDGMENT: I understand the nature of the activities and the risks involved. I consent to the minor's participation and agree to the terms above to the fullest extent permitted by law.

StrengthX seeks to provide reasonable access to its Events. Requests for disability-related accommodations should be submitted to strengthXsports@gmail.com sufficiently in advance when practicable. Accommodation requests will be evaluated consistent with applicable law, venue capabilities, and legitimate safety requirements.

StrengthX will not be responsible for delay, interruption, relocation, modification, or cancellation caused by circumstances beyond its reasonable control, including severe weather, natural disaster, fire, epidemic or public-health emergency, governmental order, labor disruption, utility or transportation failure, civil disturbance, acts of terrorism, venue unavailability, or similar events, subject to rights that cannot be waived under applicable law.

Except as expressly stated in writing and to the fullest extent permitted by law, Event admission and participation are provided on an 'as available' basis. StrengthX does not guarantee any particular exhibitor, speaker, athlete, competition schedule, program, experience, result, or outcome.

To the fullest extent permitted by law, StrengthX will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the Event or this Agreement. Any limitation in this section applies only to the extent enforceable under applicable law and does not limit liability that cannot legally be limited.

This Agreement will be governed by the laws of the State of Utah, without regard to conflict-of-law principles, except where another law must apply.

If a provision of this Agreement is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver of future enforcement. This Agreement, together with applicable Event-specific rules, purchase terms, and incorporated policies, constitutes the agreement concerning the subjects addressed here.

You agree that checking an acceptance box, electronically signing, purchasing a ticket or registration after being presented with this Agreement, or signing a paper copy may constitute your electronic or written signature to the extent permitted by law. You should retain a copy for your records.

BY SIGNING OR ELECTRONICALLY ACCEPTING THIS AGREEMENT, I ACKNOWLEDGE THAT I HAVE READ AND UNDERSTAND IT; THAT IT CONTAINS AN ASSUMPTION OF RISK AND RELEASE OF LIABILITY; THAT I AM GIVING UP CERTAIN LEGAL RIGHTS TO THE EXTENT PERMITTED BY LAW; AND THAT I ACCEPT IT VOLUNTARILY.
